1. ACCEPTING THESE TERMS
This document, our rules, policies and the other documents referenced make up our Terms and Conditions (“Terms”). The Terms are a legally binding contract between you and PubMed. Please read them carefully.
2. CHANGES
PubMed may amend the Terms at any time by posting a revised version on our website. The revised version will be effective at the time we post it. If we change the Terms in a way that reduces your rights or increases your responsibilities, we will provide you with a notification.
3. CONDUCT
PubMed shall provide and perform the services on the terms and conditions of this Agreement and will do so:
3.1 In compliance with all applicable laws, regulations, codes of practice and professional standards;
3.2 With reasonable skill and care;
3.3 In accordance with good professional practice.
4. CONFIDENTIALITY
4.1 PubMed shall collect confidential information during the course of this terms and conditions in connection with the services.
4.2 PubMed shall:
Ø Keep all confidential information confidential and not disclose it to any third party; and
Ø Use the confidential information only for the purpose for which it was provided and for no other purpose.
5. YOUR OBLIGATIONS
5.1 You shall provide PubMed with such information and access as shall be reasonably required in order to for PubMed to provide its services.
5.2 You shall make such decisions and provide such instructions as PubMed shall require and at the time that PubMed requires to enable PubMed to provide the services.
5.3 You acknowledge that PubMed’s ability to provide the services and to meet any timeframe agreed for the provision of the services is dependent on your cooperation.
6. SERVICES
6.1 You understand that PubMed offers the following one-to-one & hands –on training (services) based on these terms: -
6.1 15-minute free consultation;
6.2 45-minutes professional training;
6.3 60-minute advanced training.
6.2 PubMed shall issue refunds at its absolute discretion and the same shall only be allowed of done 24 hours before the consultation and/or training commences.
7. DISCLOSURE AND LIABILITY
7.1 You acknowledge that even though PubMed has no restrictions on students going through training/tutoring/mentoring, it is essential to note that PubMed shall only provide guidance and does not offer to do the assignment.
7.2 You hereby absolve PubMed from any and all liabilities related to the training/consultation/mentoring. Based on the foregoing professionals and students are advised to reference the information from standard textbooks or other authentic resources as prescribed by the university/organizations.
8. YOUR DETAILS AND VISITS TO THIS WEBSITE
The information or personal details that you provide PubMed shall be processed in accordance with the Privacy Policy. When you use this website, you agree to the processing of the information and details and you state that all information and details provided are true and correspond to reality.
9. PROHIBITED USES
You may not use, or encourage, promote, facilitate, instruct or induce others to use, the website or PubMed services for any activities that violate any law, statute, ordinance or regulation; for any other illegal or fraudulent purpose or any purpose that is harmful to others; or to transmit, store, display, distribute or otherwise make available content that is illegal, fraudulent or harmful to others.
10. THIRD PARTY PAYMENT PROCESSORS
PubMed operates the site as well as the services with the help of third party payment processors i.e. Stripe and PayPal. You understand that the aforementioned third party payment processors have their own terms and conditions therefore you are required to read and understand the same.
11. TERMINATION
PubMed reserves the right to change, suspend, limit or discontinue any of its Services, in whole or in part at any time for any reason, without notice (unless required by law).
12. LIMITATIONS
In no event will PubMed be liable to you for any indirect, incidental, special, consequential or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of or relating to your access to or use of, or your inability to access or use, the website or any materials or content available through the website, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of damage.
13. INDEMNIFICATION
You agree that you will be responsible for your use of the website and services, and you agree to defend and indemnify PubMed from and against every claim, liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or in any way connected with: (i) your access to, use of, or alleged use of, the website; (ii) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (iii) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (iv) any dispute or issue between you and any third party.
14. GOVERNING LAW
These terms and conditions shall be governed by and construed in accordance with the laws of the province of Ontario, Canada without reference to its conflict of law provisions and the obligations, rights and remedies of the parties hereunder shall be determined in accordance with such laws.
15. ENTIRE AGREEMENT
This Agreement contains the entire agreement and understanding among the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, inducements and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof.
